Post     :     Deputy General Manager/ Chief Manager/ Senior Manager

Key Role & Responsibilities     :     Company Secretarial

•  Co-ordination with statutory auditors, wherever applicable.
•  Filing of forms & maintaining registers.
•  Drafting of Board, Committee & Executive Management meetings.
•  Ensure arrangements regarding convening meetings including circulation of appropriate agenda material.
•  Interpretation of provisions of the Companies Act and other Charters, governing documents of the company.
•  Ensure all matters regarding corporate governance.
•  Coordinating risk register frame work of the company.

Legal
•  Drafting & Vetting of Agreements/Contracts.
•  Will be required to liaison with various Statutory Authorities and Company Solicitors.
•  Represent the company through Advocates in all Courts, Arbitrations, Tribunals.
•  Preparing Notes for Management w.r.t all Legal cases/matters.

Professional Requirement     :     •  The Candidate should be a CS & LLB with good academic background having around 15 years of relevant experience out of which 2 – 3 years in senior position in Corporate Secretarial or Legal department.
•  Candidate should have excellent communication & written skills along with Management skills.
•  Self initiator, team member and ability to co-ordinate with other departments.
•  Past experience in Public issue of shares is desirable.
